Terms of Service & Software Usage Agreement

1. Acceptance of Terms

By accessing and using heyhum software and services ("the Software"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these terms, you must not use the Software.

2. Software License

heyhum grants you a limited, non-exclusive, non-transferable license to use the Software in accordance with these Terms of Service. This license is subject to your compliance with all terms and conditions set forth herein.

3. "As Is" Provision

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

4. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HEYHUM, ITS PARENT COMPANY, AFFILIATES, SUBSIDIARIES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS (COLLECTIVELY, "HEYHUM PARTIES") SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Software
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the Software
• Any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Software
• Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Software

5. No Legal Claims

YOU HEREBY AGREE THAT YOU WILL NOT BRING ANY LEGAL ACTION, LAWSUIT, CLAIM, OR PROCEEDING AGAINST HEYHUM, ITS PARENT COMPANY, OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE, INCLUDING BUT NOT LIMITED TO CLAIMS FOR:

• Data loss or corruption
• Service interruptions or downtime
• Security breaches or unauthorized access
• Errors, bugs, or malfunctions in the Software
• Loss of business, revenue, or profits
• Any other damages or losses related to the use of the Software

6. Subscription Plans and Service Changes

heyhum reserves the right to modify, suspend, or discontinue any aspect of the Software, including but not limited to subscription plans, features, pricing, and service levels, at any time and without prior notice. We may:

• Change subscription plan features, limits, or pricing
• Add, modify, or remove features from the Software
• Modify or discontinue service levels or tiers
• Change data retention policies
• Modify API endpoints or functionality

Your continued use of the Software after any such changes constitutes your acceptance of the modified terms.

7. User Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Ensuring compliance with all applicable laws and regulations
• Obtaining necessary permissions for data collection and processing
• Backing up your data independently

8. Data and Content

You retain ownership of any data you submit through the Software. However, by using the Software, you grant heyhum a license to use, store, and process your data as necessary to provide the services. You are responsible for ensuring you have the right to collect and process any data you submit.

9. Termination

heyhum may terminate or suspend your access to the Software immediately, without prior notice or liability, for any reason, including if you breach these Terms of Service. Upon termination, your right to use the Software will cease immediately.

10. Indemnification

You agree to defend, indemnify, and hold harmless heyhum and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Software or your violation of these Terms of Service.

11. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which heyhum operates, without regard to its conflict of law provisions.

12. Severability

If any provision of these Terms of Service is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

13. Entire Agreement

These Terms of Service constitute the entire agreement between you and heyhum regarding the use of the Software and supersede all prior agreements and understandings.

14. Changes to Terms

heyhum reserves the right to modify these Terms of Service at any time. We will notify users of any material changes by posting the updated terms on this page and updating the "Last Updated" date. Your continued use of the Software after such modifications constitutes your acceptance of the updated terms.
